Terms of Service

These terms of service set out the agreement between ApexGenTech and its customers for the Nexora platform and related services.

Terms of service dates

Effective date: 1 January 2026 ยท Last updated: 15 October 2026

1. Parties and definitions

These terms are between ApexGenTech Inc., [registered company address] (“ApexGenTech”) and the customer identified in an order form or account signup (“you” or “customer”). “Platform” means the Nexora software service. “Services” means custom development, AI integration, web development, SEO or support work performed under a separate statement of work.

2. Accounts and eligibility

You must provide accurate information when creating an account, keep credentials secure, and be authorised to bind your organisation to these terms.

3. Acceptable use

You will not use the Platform to break the law, to attempt to access another tenant’s data, to circumvent security controls, or to interfere with the Platform’s normal operation.

4. Customer data ownership

You own the data you put into the Platform, in full. ApexGenTech processes it only to provide the service, per our Privacy Policy and any data processing agreement between us.

5. ApexGenTech intellectual property

ApexGenTech owns the Platform, its software, and all underlying intellectual property. These terms grant you a licence to use the Platform, not ownership of it.

6. Subscription and licensing terms

Access to modules is licensed per the order form. Fees are invoiced in advance for the billing cycle stated in your order form (typically monthly or annual), and are due within 30 days of invoice unless the order form states otherwise.

7. Service availability

We aim to keep the Platform available and will communicate planned maintenance in advance wherever practical. Any specific availability commitment is set out in your Support & SLA agreement rather than in these general terms.

8. Support

Support is provided per the terms of your Support & SLA agreement; see our Support & SLA page.

9. Confidentiality

Each party will protect the other’s confidential information with the same care it uses for its own, and at least reasonable care, for as long as that information remains confidential.

10. Warranties and disclaimers

The Platform is provided as described in our documentation. Except as expressly stated, the Platform is provided without other warranties, to the extent permitted by law.

11. Limitation of liability

Except for breaches of confidentiality, infringement of intellectual property, or liability that cannot be limited by law (such as death, personal injury, or fraud), each party’s total liability arising from these terms is capped at the fees paid or payable by the customer in the 12 months before the claim arose, and neither party is liable for indirect, incidental or consequential loss.

12. Indemnity

Each party will indemnify the other against third party claims arising from its own breach of these terms, its negligence, or its infringement of the other’s intellectual property rights, subject to the limitation in section 11.

13. Suspension and termination

Either party may terminate as set out in the order form, generally with 30 days’ written notice, or immediately for uncured material breach. On termination, you may request a full export of your data within 90 days, per our Privacy Policy and Platform documentation.

14. Changes to these terms

We may update these terms from time to time; material changes will be posted on this page and, where we hold your contact details, emailed to you at least 14 days before they take effect.

15. Governing law and jurisdiction

These terms are governed by the law and courts stated in your order form. Where no jurisdiction is stated, the laws of England and Wales apply and the courts of England and Wales have exclusive jurisdiction, without prejudice to any mandatory consumer or data protection rights you hold in your own country.

16. Contact

Questions about these terms can be sent to legal@apexgentech.com.

17. Services engagements

Where ApexGenTech performs custom development, AI integration, web development, SEO or support work under a separate statement of work, that document governs scope, deliverables and change requests, and these Terms of Service apply to it as the general framework.

In plain language

These terms in plain language

Contracts need to be exact, which can make them heavy reading. This guide explains the main points in everyday words so that you know what you are agreeing to. The numbered clauses above are the binding text. If anything in this guide differs from them, the clauses prevail.

In short: you own your data and we only use it to provide the service. We own the software, and you are licensed to use it, not to take it. You use the platform lawfully and do not try to reach anyone else’s data. You pay for the modules you chose, on the schedule in your order form. We aim to keep things running and tell you in advance about planned maintenance, and any specific availability promise lives in your support agreement. Each side protects the other’s confidential information, and each side’s liability is limited as set out in the liability clause.

Custom development, AI integration, web development and SEO work are described in your own order form or statement of work, which sets out the scope, the fees and who owns what is built.

Your commitments

What we ask of customers, and what you can expect of us

A good agreement is balanced. Here is what each side takes on, in short.

Six commitments in short:

  • You give accurate information, keep your credentials secure and use the platform lawfully.
  • You do not try to access another customer’s data, bypass security controls or interfere with the service.
  • You pay the fees in your order form on the schedule it states.
  • We provide the service as described, protect your data and keep it separate from other customers.
  • We support you as set out in your support agreement and tell you in advance about planned maintenance wherever practical.
  • We keep your information confidential and give you a full export of your data on request.

Starting and ending

Starting, changing and ending an agreement

You begin by agreeing an order form that lists the modules or services you have chosen, the fees and the billing cycle. You can add modules later, and each addition is recorded in an updated order form so there is always a clear record of what is covered.

If you decide to leave, you can ask for a full export of your data, which includes every record and every uploaded document, delivered as a single package. We think the end of a relationship should be as straightforward as its beginning. The exact notice periods and what happens to fees on cancellation are stated in your order form.

If either of us has a serious concern, we raise it with the other first and try to resolve it directly. Most issues are settled that way, and our contact page shows how to reach us.

Questions

Questions about these terms

If anything in these terms is unclear, ask us before you sign. We would much rather answer a question now than have a misunderstanding later. You can reach us through our contact page or by email at hello@apexgentech.com, and we will explain any clause in plain language.

For custom projects, order forms and statements of work may add detail about scope, timing and fees. Where they do, the specific document applies to that project, alongside these general terms.

Changes

How these terms may change

We may update these terms from time to time, for example when we add a service or when the law changes. The effective and last updated dates at the top of the page show the current version. Where a change is material, we will tell existing customers in advance by notice or by email, so that you have time to review it. Changes do not alter an order form you have already signed unless both sides agree.

We keep earlier versions on file, so if there is ever a question about which terms applied on a particular date, we can show you.
